02 / OZR Labs & Computational Software

OZR Labs provides access to proprietary structural analysis tools, including 3D viewport modelling environments, finite element analysis (FEA) solvers, member design calculators, load combination engines, and automated PDF report generation. These computational tools are provided strictly for use by licensed, registered, or suitably qualified engineering professionals. Access by unqualified individuals is expressly prohibited.

While OZR Labs' algorithms are developed with reference to applicable Australian standards including AS 4100 (Steel Structures), AS 1170 series (Structural Loading), and AS 3600 (Concrete Structures), all computational outputs — including member utilisation ratios, deflection results, reaction forces, and generated PDF reports — are provided as preliminary engineering aids only. They do not constitute a certified engineering design, a structural certificate, or a substitute for professional engineering judgement.

All outputs generated by the OZR Labs platform must be independently reviewed, verified, and certified by a Registered Professional Engineer (RPEQ in Queensland, NER nationally, or equivalent PE registration) before being used in any construction document, permit application, tender submission, or physical structural implementation. OZR Consulting expressly disclaims all liability for structural failures, engineering errors, regulatory non-compliance, or any other loss or damage arising from the use of platform outputs without such independent professional verification.

03 / Subscription, Payments & Cancellation

Access to OZR Labs is provided on a tiered subscription basis (Individual, Basic, and Advanced), as detailed on the OZR Labs pricing page. All payments are processed securely via Stripe Inc. By providing payment details, you authorise OZR Consulting to charge the applicable subscription fee on a recurring basis at the start of each billing cycle.

• / Auto-Renewal: Subscriptions renew automatically at the end of each billing period unless cancelled via the user dashboard at least 24 hours prior to the next renewal date.
• / Refund Policy: All subscription fees are non-refundable. No credits, refunds, or pro-rated amounts will be issued for partial billing periods, unused access, or downgraded plan periods.
• / Price Changes: OZR Consulting reserves the right to modify subscription pricing at any time. Users on active subscriptions will receive no less than 30 days' written notice of any price change prior to their next billing cycle.
• / Failed Payments: If a recurring payment fails, access to OZR Labs may be suspended or downgraded until payment is successfully processed. OZR Consulting is not liable for data loss or project inaccessibility arising from payment failure.

All prices are displayed in Australian Dollars (AUD) and are inclusive of GST where applicable, in accordance with the A New Tax System (Goods and Services Tax) Act 1999 (Cth).

04 / User Responsibilities & Acceptable Use

As a condition of your access to the Services, you agree to the following:

• / Account Security: You are solely responsible for maintaining the confidentiality of your account credentials. You must not share login details with any other person. Any activity conducted under your account is your responsibility.
• / Data Accuracy: You are responsible for the accuracy of all project data you submit to the OZR Labs platform, including geometry, loads, material properties, and boundary conditions. OZR Consulting accepts no liability for incorrect outputs resulting from erroneous or incomplete user-provided inputs.
• / Professional Verification: You acknowledge and accept that it is your professional obligation to independently verify all computational outputs prior to any practical application. Use of unverified results in live engineering projects is done entirely at your own risk.
• / Prohibited Conduct: You must not attempt to reverse-engineer, decompile, disassemble, scrape, or extract the underlying source code, algorithms, or solver logic of any OZR Labs component. You must not use the platform to store or transmit unlawful, defamatory, or infringing content. You must not engage in any activity that imposes a disproportionate load on OZR infrastructure or interferes with the platform's normal operation.
• / Compliance with Laws: You agree to use the Services in compliance with all applicable laws and regulations, including professional engineering standards applicable in your jurisdiction.

OZR Consulting reserves the right to suspend or permanently terminate any account found to be in breach of this section, without notice and without liability for refund.

05 / Intellectual Property

All intellectual property rights in the OZR Labs platform, including but not limited to the FEA solver architecture, member design logic, load combination engines, 3D viewport rendering systems, report generation pipelines, source code, UI/UX design, algorithms, branding, trade marks, and all associated documentation, are the exclusive property of OZR Consulting and are protected under the Copyright Act 1968 (Cth) and applicable intellectual property law.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the platform solely for your own professional structural engineering purposes, subject to these Terms. This licence does not grant you any ownership interest in the platform or its underlying technology.

Users retain full ownership of the structural project models (JSON states), load configurations, and PDF reports they generate through the platform, subject to their active subscription remaining in good standing. OZR Consulting may retain anonymised copies of computational inputs and outputs for platform improvement purposes only.

06 / Disclaimer of Warranties & Limitation of Liability

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. OZR CONSULTING EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

To the maximum extent permitted by applicable law, OZR Consulting shall not be liable for any loss or damage of any kind arising from:

• / Inaccuracies, errors, or limitations in any computational output, member design result, or FEA analysis produced by OZR Labs.
• / Structural failure, collapse, or damage to persons or property resulting from reliance on unverified platform outputs.
• / Loss, corruption, or inaccessibility of project data due to server downtime, outages, cyberattacks, infrastructure failure, or any other cause beyond our reasonable control.
• / Any indirect, incidental, special, consequential, or punitive damages, including loss of profit, loss of revenue, loss of goodwill, or loss of business opportunity.
• / Service interruptions, feature unavailability, or changes to the platform made at OZR Consulting's discretion.

In all cases, OZR Consulting's total aggregate liability to you shall not exceed the total subscription fees paid by you in the three (3) months immediately preceding the event giving rise to the claim. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

07 / Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Queensland, Australia, without regard to its conflict of law provisions. You irrevocably submit to the exclusive jurisdiction of the courts of Queensland, Australia, in respect of any dispute arising out of or in connection with these Terms or the Services.

Prior to initiating any formal legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of no less than 30 days following written notice of the dispute. If unresolved, either party may refer the matter to a mutually agreed mediator in accordance with the Mediator Standards Board guidelines, before commencing litigation.

08 / Indemnification

You agree to indemnify, defend, and hold harmless OZR Consulting, its directors, officers, employees, contractors, agents, and successors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of or access to the Services; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; (d) any inaccuracy in data you submit to the platform; or (e) the use of any computational output in a structural application without independent professional verification.

09 / Service Availability & Modifications

OZR Consulting makes no guarantee of continuous, uninterrupted access to the Services. Planned maintenance, security updates, infrastructure upgrades, and unforeseen outages may temporarily affect platform availability. Where possible, planned maintenance will be communicated in advance.

OZR Consulting reserves the right to modify, suspend, discontinue, or retire any feature, tool, or component of the OZR Labs platform at any time, with or without notice. We will endeavour to communicate significant changes in advance but accept no liability for any impact arising from such modifications.

10 / Termination

You may terminate your account at any time by cancelling your subscription via the user dashboard and ceasing use of the Services. Upon termination, your right to access the platform immediately ceases and your project data may be deleted after a 30-day grace period.

OZR Consulting may suspend or permanently terminate your account without notice if you breach any provision of these Terms, if we are required to do so by law, or if we determine in our sole discretion that continued access poses a risk to the platform, other users, or third parties. Upon termination, all licences granted to you under these Terms immediately expire. Clauses relating to intellectual property, limitation of liability, indemnification, and governing law shall survive termination.

11 / Amendments to These Terms

OZR Consulting reserves the right to update or amend these Terms at any time. Material amendments will be communicated to registered users via email no less than 14 days prior to the changes taking effect. Your continued use of the Services after the effective date of any amendment constitutes your binding acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
